Please read these Terms and Conditions carefully before using our website or engaging DBI IMPACT LLC for services. By accessing our website or entering into a service agreement, you confirm that you have read, understood, and agree to be bound by these Terms.
01 Acceptance of Terms
These Terms constitute a legally binding agreement between you ("Client") and DBI IMPACT LLC, a Limited Liability Company registered in the Commonwealth of Kentucky, USA (), with its principal office at 212 N. 2nd Street, STE 100, Richmond, KY 40475.
02 Description of Services
- Artificial Intelligence: AI strategy, machine learning, and LLM integration
- Intelligent Automation: RPA, workflow automation, and process optimization
- Data Analytics: Business intelligence, data engineering, and predictive analytics
- eCommerce Solutions: Online store setup, conversion optimization, and integrations
03 Eligibility
- You are at least 18 years of age
- You have legal authority to enter into binding agreements
- You are using our services for lawful business purposes
- All information you provide is accurate, current, and complete
04 Service Agreements
All consulting engagements are governed by a mutually executed Service Agreement or Statement of Work specifying scope, timeline, fees, and deliverables. In the event of conflict, the signed Service Agreement shall prevail.
Client Responsibilities
The Client agrees to provide timely access to necessary information, systems, personnel, and approvals. Delays caused by the Client may result in timeline adjustments and additional fees.
05 Payment Terms
- Invoices due within 30 days of issuance
- 50% deposit may be required before work commences
- Recurring fees billed monthly in advance
- Late payments subject to 1.5% monthly interest charge
- Services may be suspended for accounts overdue by more than 15 days
All fees are quoted and payable in US Dollars (USD).
06 Refund and Cancellation
Project Cancellation
Either party may cancel with 30 days written notice. Work completed to cancellation date will be billed at the agreed rate.
Refund Policy
All completed and delivered work is non-refundable. Disputes must be raised within 14 days of delivery. For eCommerce setup, a 7-day satisfaction review period applies after initial launch.
07 Intellectual Property
Upon receipt of full payment, DBI IMPACT LLC assigns to the Client all rights in custom deliverables created specifically for the Client. DBI IMPACT LLC retains ownership of all pre-existing tools, frameworks, and methodologies, licensed to the Client on a non-exclusive basis.
08 Confidentiality
Both parties agree to maintain confidentiality of non-public information shared during engagements. This obligation applies for 3 years after conclusion of an engagement and does not apply to publicly available information or legally required disclosures.
09 Limitation of Liability
To the maximum extent permitted by law, DBI IMPACT LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website.
DBI IMPACT LLC's total liability for any claims shall not exceed the total fees paid for the specific engagement in the 3 months preceding the claim.
10 Disclaimers
DBI IMPACT LLC provides services on an "as is" and "as available" basis. We do not warrant that AI models will be error-free, that analytics outputs will be free from inaccuracies, or that eCommerce solutions will achieve specific revenue targets.
11 Indemnification
You agree to indemnify and hold harmless DBI IMPACT LLC and its members, officers, and employees from any claims, liabilities, and expenses arising out of your violation of these Terms or unauthorized use of our services.
12 Governing Law
These Terms are governed by the laws of the Commonwealth of Kentucky, USA. Disputes unresolved within 30 days shall be submitted to binding arbitration in Madison County, Kentucky, under the American Arbitration Association's commercial rules.
13 Modifications
DBI IMPACT LLC reserves the right to modify these Terms at any time. Continued use after changes take effect constitutes acceptance of the revised Terms.
